Executive search engagement letter: retained fee, guarantee and off-limits terms

By Arthur Teboul, DokuTrak · Published

In brief

An executive search engagement letter describes the role, the fee and when each installment is due, the guarantee if the hire leaves early, and the off-limits promise about the client’s own staff. It also sets how candidate data and background checks are handled, with the candidate’s written consent first.

[Search firm name] [Firm address] [Date] [Client legal name] Attention: [Hiring executive name], [Title] [Client address] Re: Retained search for [position title]

Dear [Hiring executive name],

The search

[Client legal name] retains [Search firm name] on an exclusive basis to find candidates for [position title], reporting to [title], based in [location], with a cash compensation range of [range]. The attached position specification forms part of this letter.

Exclusivity and term

The search is exclusive for [number] months from the date of this letter. During that time, you will refer to us any candidate for this role who comes to you from another source, so we can assess them alongside our slate.

Our process

We will hold a kickoff meeting within [number] days, share a market map by [date], present a slate of qualified candidates within [number] weeks, coordinate interviews, take references, and support the offer.

Fee

Our fee is [percentage] of the hire’s guaranteed first-year cash compensation, meaning base salary plus target bonus [and any signing bonus], with a minimum fee of [amount]. We will invoice an estimated fee based on [the midpoint of the range].

Installments

You will pay: [share] on signing; [share] when we present the slate or [number] days after signing, whichever is earlier; and the balance when a candidate accepts your offer, adjusted to the actual compensation agreed. Installments paid are earned when due.

Expenses

Candidate travel and similar direct costs are billed monthly at cost, after your agreement. Our administrative fee is [percentage] of the fee, capped at [amount].

Candidates we present

If you hire, for any role, a candidate we presented within [number] months of the date we presented them, our fee for that hire is owed on the terms above. We will keep a dated list of presented candidates and share it with you on request.

Off-limits

For [number] months after this search ends, we will not directly recruit any of your [employees / employees at the level of (level) and above] for another client.

Replacement guarantee

If the hire leaves for any reason within [number] months of their start date, we will run one replacement search for no further fee, expenses aside. This does not apply after a layoff, a restructuring, a material change to the role, or if any installment was paid late.

Background checks

Before any background report is ordered, the candidate will receive a stand-alone written disclosure and sign a written authorization. If you consider declining a candidate based on the report, you will give the candidate a copy of it and a summary of their rights first.

Equal opportunity

We will identify and present candidates without regard to race, color, religion, sex, national origin, age, disability, genetic information or any other characteristic protected by law, and you agree that your selection criteria will be related to the job.

Confidentiality and candidate data

We will keep your identity confidential until you agree to share it with a candidate. You will use candidate information only for this search and delete what you no longer need when it ends.

Governing law(optional)

This letter is governed by the laws of [state]. Any dispute will first go to non-binding mediation in [city, state].

Cancellation

You may cancel the search by written notice. Installments already due remain payable. If you cancel before we present a slate, [no further fee is due / the second installment is due].

Agreement

Please sign below and return the letter with the first installment. Our work begins when both are received.

Retained or contingent: the fee clause changes

A retained search is one where the client pays the firm in installments to run an exclusive search, whether or not the role is filled. By contrast, a contingent search pays only if the client hires a candidate the firm introduced. The letter for each looks different, so say in the first clause which one this is.

This template is for a retained search, one role per letter. The fee is usually a share of the hire’s first-year cash pay, or a fixed amount, with a stated minimum. Define the base, for example salary plus target bonus, so nobody argues later about whether a signing bonus counts.

Installments and what triggers each one

Tie each installment to a moment both sides can see. A calendar date alone invites a dispute when the search stalls. A slate delivered, or an offer accepted, does not.

The guarantee, off-limits and candidate ownership

A replacement guarantee is the firm’s promise to run a new search for no further fee if the hire leaves within a set period. State the period and what voids it, such as a layoff, a change in the role or a restructuring. Say that the guarantee needs the client to have paid every installment on time.

The off-limits clause is the client’s protection. The firm agrees not to recruit the client’s employees for a set period after the search ends. Define who counts: all employees, or only those at a certain level.

Candidate ownership protects the firm. If the client hires someone the firm presented, for any role, within a set period after presentation, the fee is owed. Keep the list of presented candidates in writing, dated, so the clause can be checked.

Background checks and equal employment

Federal law sets the steps for background reports. A consumer report is a background report on a person prepared by a consumer reporting company, used here to screen a candidate. Before the report is obtained, the candidate must get a clear written disclosure, in a document consisting only of that disclosure, and must authorize it in writing (15 U.S.C. 1681b, Permissible purposes of consumer reports). Do not bury the consent in a candidate application: the EEOC and FTC guidance says the notice must be in a stand-alone format, not in an employment application (EEOC and FTC: Background checks, what employers need to know). Apply the same checks to every finalist for the role, since checking only some candidates can be evidence of discrimination (EEOC and FTC: Background checks, what employers need to know).

Adverse action belongs to the employer. Before turning down a candidate based on the report, the employer must give the candidate a copy of it and a written description of their rights (15 U.S.C. 1681b, Permissible purposes of consumer reports). Write that the client carries out these steps unless the firm has agreed to do them.

Search firms are covered by job discrimination law too. It is illegal for an employer or an employment agency to take race, color, religion, sex, national origin, age (40 or older), disability or genetic information into account in job referrals (EEOC: Prohibited employment policies and practices). The same law forbids recruiting in a way that discriminates on those grounds (EEOC: Prohibited employment policies and practices). The letter should commit both sides to job-related criteria.

The candidate file and data

Each finalist produces a small file of documents. List them in the letter so the client knows what it will receive and when. Keep pay history requests within what your state allows, since some states limit asking about it. Send the file through a secure upload, not as email attachments, because it holds identity and background data. Then delete what the client no longer needs when the search closes.

  • Résumé and the firm’s candidate report.
  • Signed background check disclosure and authorization, as a stand-alone form.
  • Reference consent naming who may be contacted.
  • Proof of education or licenses claimed, such as a diploma or professional license.
  • Offer letter and the signed acceptance, which triggers the final installment.

Questions people ask

What is the difference between retained and contingent search?

In a retained search, the client pays installments for an exclusive search whether or not it hires. In a contingent search, the firm is paid only if the client hires a candidate the firm introduced.

What does an off-limits clause mean in executive search?

The search firm agrees not to recruit the client’s employees for a set period after the search, which protects the client’s team. The letter should say which employees are covered and for how long.

Does a candidate have to consent to a background check?

Yes, for a consumer report used for employment. The candidate gets a stand-alone written disclosure first and must authorize the report in writing (15 U.S.C. 1681b, Permissible purposes of consumer reports).

What voids a replacement guarantee?

Whatever the letter lists. Common exceptions are a layoff, a major change to the role, a restructuring, or late payment of the fee, so write the exceptions and the guarantee period in plain words.

  • Your client uploads from one link, with no account and no password.
  • Reminders go out on a schedule, by default 2, 5, 10 and 14 days after the request, until the file arrives.
  • With AI review switched on in your workspace (it is off by default), each upload gets a first pass that flags a file that is not the requested document or an unreadable or blurry scan. It says so when it is not sure.
  • You accept every file or mark it for re-upload, and your client gets the note by email. The AI never accepts a file.
