AICPA engagement letter templates: what exists, who can use it, what to add

By Arthur Teboul, DokuTrak · Published

In brief

An AICPA engagement letter template is either an illustrative letter printed as an exhibit to an auditing, attestation or accounting standard, or a practice aid published for members and Tax Section subscribers. The exhibits come with the standards; the practice aids listed here need a membership or credential.

The template: Engagement letter on the AICPA structure (any service)

This letter follows the order of the AICPA illustrative letters, with one assurance paragraph per level of service. Keep the paragraph for your service, delete the others, fill in every [placeholder], and compare it with the current AICPA letter if you have access.

Fill it in online: The engagement letter generator fills this template with your firm and client, keeps the optional clauses you pick, and gives you the letter to copy, print or save.

[Firm name] [Firm address] [Date] [Client legal name] [Client address] Re: [Service name] for [period or tax year]

Dear [Client contact name],

The service

This letter sets out our understanding of the [audit / review / compilation / preparation of financial statements / tax return preparation / tax consulting] services that [Firm name] will provide to [Client legal name] for [period or tax year], and the responsibilities each of us accepts.

Objective and framework

The financial statements will be prepared in accordance with [accounting principles generally accepted in the United States of America / the income tax basis / the cash basis]. Our objective is [to express an opinion on them / to obtain limited assurance on them / to apply accounting expertise to help you present them, without providing assurance].

Assurance: audit(optional)

We will obtain reasonable, not absolute, assurance about whether the statements are free from material misstatement, whether due to fraud or error. Because of the inherent limitations of an audit and of internal control, some material misstatements may not be detected.

Assurance: review(optional)

A review consists mainly of inquiries and analytical procedures. It is substantially less in scope than an audit, and we will not express an opinion. We must be independent of you to perform it.

Assurance: compilation or preparation(optional)

We will not audit or review the statements, and we will provide no assurance on them. [Each page will state that no assurance is provided.] Our work is not designed to detect fraud or error, but we will tell you of any we become aware of.

What management is responsible for

You are responsible for: (a) preparing and fairly presenting the financial statements in accordance with [framework], including all informative disclosures; (b) selecting the framework; (c) internal control over the records; (d) preventing and detecting fraud; (e) complying with laws and regulations; and (f) giving us complete and accurate records, documents and explanations, and unrestricted access to the people from whom we need information.

Compilation report in other documents(optional)

Any document that includes the financial statements and says that we compiled them will also include our compilation report.

Records and due dates

You will send the documents on the attached list by [date], including [bank and credit card statements, loan statements, invoices, signed contracts, prior-year returns]. Work starts when the list is complete. Late or partial records move our delivery date to [number] days after the last item arrives.

Representation letter(optional)

At the end of the engagement, management will sign a letter confirming the representations it made to us.

Nonattest services and your overseer(optional)

We will also provide [bookkeeping / payroll / tax preparation]. You designate [name, title] to oversee that work, evaluate it and accept responsibility for the results.

Tax matters and representation(optional)

For tax returns we prepare, you are responsible for the information on them and for reviewing and signing them before filing. If you ask us to represent you before the IRS for [tax years], you will sign Form 2848 for those years and matters, and that work will be billed separately.

Use of your tax return information(optional)

We will use your tax return information only to prepare your returns and provide the services in this letter. If we want to use or disclose it for any other purpose, we will first ask for your separate written consent, and our services will not depend on your giving it.

Our report or deliverable

We expect to deliver [an auditor’s report / a review report / a compilation report / the prepared statements / the returns]. Its form may differ if circumstances require, and we may withdraw if we cannot complete the work.

Fees, records and disputes

Our fee is [amount or basis], invoiced [schedule] and due within [number] days. Our working papers are our property and are kept for [period]. Disputes will first go to mediation in [city, state].

Signatures

Please sign and return this letter to confirm these terms. They apply until either of us gives written notice of a change.

Sincerely, [Firm name] [Partner name], CPA Signature: ____________________ Date: __________ Accepted for [Client legal name]: [Name, title] Signature: ____________________ Date: __________

Each AICPA letter by service, with where it sits

The AICPA does not publish one library of engagement letters. Its letters sit in two places with different access. Some are exhibits inside the professional standards. Others are practice aids on the AICPA & CIMA site, each with its own access label. The table lists the ones we could open or see listed, with the label the site showed.

Check the year on any letter you download. The Tax Section reissues its letters, and its 2025 audit representation letter carries the year in its title (AICPA Tax Section, 2025 Audit Representation Engagement Letter).

Illustrative exhibits versus practice aids

An illustrative engagement letter is a sample the standard-setting body prints after a standard to show one way to meet its terms. It is guidance, not a required form. The terms it illustrates are required, though. For example, AR-C 80 lists what a compilation letter must cover and says both sides sign it (AICPA SSARSs, AR-C 60, 70, 80 and 90).

A practice aid is a resource an AICPA section or committee publishes to help members, such as the Tax Section’s annual letters. These carry no standard behind them, so the clauses reflect risk management advice. The Tax Section says its letters were developed with the insurer it endorses (AICPA Tax Section, 2025 Audit Representation Engagement Letter).

That difference tells you what you may cut. Wording that carries a required term stays. Wording that only manages risk is a business choice to discuss with your carrier and your lawyer.

Clauses firms drop from the AICPA wording, and should not

When firms shorten an AICPA sample, a few clauses tend to go first because they sound like boilerplate. Each one carries a standard or an ethics rule.

Tailoring any AICPA sample to one client

A sample letter is written for nobody in particular. Before you send it, fill in what makes the job specific. The template below follows the AICPA structure, so you can use it for any attest or tax job and switch clauses on or off.

The level of service is the choice between audit, review, compilation and preparation, and it drives most of the letter. Each level has its own assurance wording, its own report and its own independence rule. Mixing paragraphs from two levels is the usual way a tailored sample goes wrong, for example a compilation letter that still promises limited assurance.

Tax work adds its own paperwork. If you will represent the client before the IRS, the letter should say so and the client signs Form 2848, which authorizes an individual to represent a taxpayer before the IRS (IRS Instructions for Form 2848). List the tax matters and years in both documents, so they match. A tax return preparer also needs the client’s written consent before using or disclosing return information for any other purpose, unless the rules allow it (26 CFR 301.7216-3, Disclosure or use permitted only with the taxpayer’s consent).

  1. Name the entity, the statements or returns, and the period.
  2. Name the framework, such as U.S. GAAP, the tax basis or the cash basis.
  3. Choose the level of service and keep only that assurance paragraph.
  4. List nonattest services and name the client’s overseer.
  5. Write the document list with a due date for each item.
  6. Set the fee basis, then add the clauses your insurer asks for, such as dispute resolution and record retention.

Questions people ask

Where do I find the AICPA engagement letter templates?

The illustrative letters are exhibits inside the standards: AU-C 210 for audits, AR-C 70, 80 and 90 for preparation, compilation and review, AT-C 215 for agreed-upon procedures (AICPA SSARSs, AR-C 60, 70, 80 and 90). Tax and valuation letters are practice aids on the AICPA & CIMA site, and the ones listed here sit behind a section or credential login.

Are AICPA engagement letters free?

The illustrative letters come with the standards, which the AICPA posts for download after you accept its terms of use. The Tax Section letters are labelled for section members, and the PFP sample for AICPA members (AICPA, Sample General PFP Engagement Letter).

Can I use an AICPA sample letter as is?

No. The NFP audit template itself says it may not include everything a given engagement needs and should be tailored (AICPA, Not-for-profit audit engagement letter template). Fill in the entity, period, framework, services and documents, and have counsel review it.

Is there an AICPA bookkeeping engagement letter?

We found no AICPA standard that governs bookkeeping on its own, and no illustrative bookkeeping letter in the SSARS. If the books feed financial statements you prepare, AR-C 70 may apply, with its own letter terms (AICPA SSARSs, AR-C 60, 70, 80 and 90).

  • Your client uploads from one link, with no account and no password.
  • Reminders go out on a schedule, by default 2, 5, 10 and 14 days after the request, until the file arrives.
  • With AI review switched on in your workspace (it is off by default), each upload gets a first pass that flags a file that is not the requested document or an unreadable or blurry scan. It says so when it is not sure.
  • You accept every file or mark it for re-upload, and your client gets the note by email. The AI never accepts a file.
