Schedule K-1: what it is, and why it arrives late
By Arthur Teboul, DokuTrak · Published
In short
A Schedule K-1 reports your share of the income, deductions and credits of a partnership (Form 1065), an S corporation (Form 1120-S) or a trust or estate (Form 1041). It comes from the entity, not from the IRS. Because it depends on the entity’s own return, which is often extended, a K-1 can arrive well after March.
What is a Schedule K-1?
A K-1 does not show a single amount paid to you. It shows your share of each item of the entity’s results: ordinary business income, rental income, interest, dividends, capital gains, deductions and credits, each in its own box.
There are three versions: Schedule K-1 (Form 1065) for partners and LLC members taxed as a partnership, Schedule K-1 (Form 1120-S) for S corporation shareholders, and Schedule K-1 (Form 1041) for beneficiaries of a trust or estate.
Who sends it, and when
The partnership, S corporation, trust or estate issues it, usually through its accountant, together with its own return. Partnership and S corporation returns for calendar-year entities are due March 15, and many file an extension, so the K-1 often follows months later.
Where to get a Schedule K-1
- The entity’s accountant or managing partner, who sends K-1s to each owner.
- An investor area or document site, for funds and syndications.
- Your brokerage account, for publicly traded partnerships, which post K-1s on a separate tax package site.
- The trustee or executor, for a trust or estate.
Wrong files people send instead
- Only the first page, without the statements and state K-1s attached.
- A capital account statement or a distribution notice instead of the K-1.
- A draft or estimated K-1 when the final one has since been issued.
- No K-1 for a small partnership interest held in a brokerage account.
Questions people ask
What is a K-1 form?
It is the schedule a partnership, S corporation, trust or estate gives each owner or beneficiary to report their share of its income, deductions and credits.
Why is my K-1 late?
The entity has to finish its own return first, and many file an extension. Your own return may need to wait for it or be extended too.
Do I get a K-1 even if I received no money?
Yes. A K-1 reports your share of the results, whether or not cash was distributed to you.

- Your client uploads from one link, with no account and no password.
- Reminders go out on a schedule, by default 2, 5, 10 and 14 days after the request, until the file arrives.
- With AI review switched on in your workspace (it is off by default), each upload gets a first pass that flags a file that is not a Schedule K-1 or an unreadable or blurry scan. It says so when it is not sure.
- You accept every file or mark it for re-upload, and your client gets the note by email. The AI never accepts a file.
