What does a complete W-9 actually require?
A complete W-9 needs the vendor's name, business name if different, federal tax classification, address, a correct taxpayer identification number, and a signature with a date in the Part II certification. Miss any one of those and the form is not usable. The current version is Form W-9, Rev. March 2024.1
Naming the revision matters because a wrong-year form quietly tanks your accuracy. The March 2024 revision clarified Line 3a for tax classification and added a new Line 3b, which asks a flow-through entity to indicate whether it has direct or indirect foreign partners, owners, or beneficiaries when giving the W-9 to another flow-through entity.1 A vendor who sends a 2018 copy from an old inbox is skipping fields the IRS now expects.

Here is the practical problem. When a vendor emails a scanned form, nobody checks it against that list on the way in. It sits in an inbox looking done, and the gaps surface in January when you can least afford them. That is what the AI flag is for: it reads each uploaded W-9 and flags the unsigned, missing-TIN, wrong-form, or unreadable ones the moment they arrive. AI flags, you decide.
Why does a missing or wrong W-9 cost you real money?
A missing W-9 is not a paperwork annoyance. If a vendor has not given you a correct TIN, the IRS requires you to deduct and deposit 24% of reportable payments as backup withholding until the issue is fixed.2 File a 1099 with a name and TIN that do not match, and you are exposed to per-form penalties that stack across every vendor.
Those penalties are not trivial. For 2025 filings, a late or incorrect information return runs $60 if corrected within 30 days, $130 if corrected by August 1, and $330 after that or if not filed at all, rising to $660 for intentional disregard. The 2026 amounts are $60, $130, $340, and $680.3 Multiply that by every mismatched 1099 and the cost of skipped W-9 collection gets concrete fast.

There is a matching machine behind all of this. The IRS received more than 5 billion information returns for 2022,4 and its Automated Underreporter program closed over 1.58 million cases that year, tied to $8.7 billion in assessments, by matching those returns against filed tax returns.5 A name or TIN that does not match on a 1099 is exactly what it flags. Getting the W-9 right up front is how you stay out of it.
Why do email and Google Drive fail for collecting W-9s?
Email and Google Drive fail because neither was built to collect a specific form from many people and confirm it is complete. Email gives you no tracking, no reminders, and no validation. Google Drive adds a shared folder but still requires the uploader to have a Google account, offers no automatic reminders, and cannot tell a signed W-9 from a blank one.6
To be fair, both tools are fine for what they are. Email is unbeatable for a quick note. Google Drive is a good place to store files once you have them. The failure is specific: pulling a complete, current W-9 out of 40 vendors on a deadline.
Walk through Drive. There is no native file-request feature, so you create and share a folder by hand. The vendor hits an access screen unless they sign into a Google account, which many small vendors do not have.6 Drive sends no reminders, so follow-up is back on you, and it runs no validation, so a blank or unsigned W-9 lands looking as legitimate as a good one.6
Dropbox File Request gets one thing right that Drive does not: vendors can upload with no account. The pattern across all of them: no account is rare, auto-reminders are rare, and content validation does not exist anywhere. That gap is the whole reason W-9 season is painful.
