> **In brief:** A partnership tax return checklist for Form 1065 starts with the partnership agreement, last year’s return and a year-end trial balance. Then you collect each partner’s details and capital activity, the forms the partnership received and issued, asset records, and the partnership representative’s contact details.

## The checklist: Form 1065 year-end request list for partnerships

## When Form 1065 is due

A partnership files Form 1065 by the 15th day of the 3rd month after its tax year ends, which is March 15 for a calendar year ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). For the 2025 return that date fell on a Sunday, so calendar-year partnerships had until March 16, 2026 ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). Form 7004, filed by that date, gets the extra time ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). For most filers the extension runs 6 months ([Form 7004 instructions](https://www.irs.gov/instructions/i7004)).

Late returns cost more here than for a sole owner. For the 2025 return, filed in 2026, the penalty is $255 for each month late, up to 12 months, times the number of partners ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). For returns required to be filed in 2027, such as the 2026 calendar-year return, the monthly amount is $260 ([Rev. Proc. 2025-32](https://www.irs.gov/pub/irs-drop/rp-25-32.pdf)). A four-partner firm feels that fast, so set the client’s deadline for papers well before March.

Check how the return must go in. A partnership with more than 100 partners must e-file, and so must one that files 10 or more returns of any type during the year, information returns included ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). Count the Forms 1099, W-2 and 941 it sends before you plan a paper filing.

Keep in mind what the form is for. An **information return** is a return that reports income without paying tax on it: the partnership itself pays no income tax, and each partner reports a share on their own return. That is why the partner data below matters as much as the books. A wrong percentage on one Schedule K-1 flows into a partner’s return you never see.

## The agreement and the partner list

The **partnership agreement** is the contract that sets how income, losses and cash are shared. Ask for the signed copy and every amendment. Look for special allocations, guaranteed payments, and any property a partner put in with a value different from its tax basis. Those contributions need their own allocation method ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)).

Then build the partner list. For each partner you need the name, address, taxpayer ID and type, such as individual, corporation or trust. You also need the profit, loss and capital shares at the start and the end of the year, with the date of any change.

A partner who sold an interest brings extra papers. If the sale involved receivables or inventory, the seller must notify the partnership in writing within 30 days, and the partnership files Form 8308 ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). Ask whether a Section 754 election is in place, since it changes the buyer’s share of basis in partnership assets. Ask for the sale agreement too, with the date and the price.

## Books, capital accounts and liabilities

Every number on page 1 traces back to the closed books: ask for the December trial balance, the income statement and the balance sheet. Ask for bank and card statements with the year-end reconciliations, and loan statements for every debt. A small partnership that meets four tests on the form may skip Schedules L, M-1 and M-2, but you still need the books to check it ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)).

Each Schedule K-1 shows the partner’s capital account on a tax basis. The **tax-basis method** is a way of tracking capital that adds contributions and the partner’s share of income, and subtracts losses and distributions. That figure leaves out the partner’s share of debt, so it may not match the partner’s own basis ([Schedule K-1 (Form 1065) instructions](https://www.irs.gov/instructions/i1065sk1)). Keep a roll-forward per partner, starting from last year’s Schedule K-1.

Debt is reported per partner as well. Sort each loan into recourse, nonrecourse or qualified nonrecourse, and keep the loan papers that show who is on the hook.

| Schedule K-1 item | Where the data comes from |
| --- | --- |
| Partner details and shares | Partner list and the agreement |
| Capital account (tax basis) | Last year’s K-1, contributions, distributions, share of income ([Schedule K-1 (Form 1065) instructions](https://www.irs.gov/instructions/i1065sk1)) |
| Share of liabilities | Loan statements, sorted by type of debt |
| Guaranteed payments | Payroll or ledger detail per partner |
| Section 199A information | Income, wages and asset basis by activity |
| Schedule K-3 or exception notice | Foreign partners, accounts and taxes, or proof there are none ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)) |

## Income, assets and the forms the partnership issued

Collect every form the partnership received, for example Forms 1099-NEC, 1099-INT, 1099-DIV, 1099-B and 1099-K. If it owns a share of another partnership, add the Schedule K-1 from that lower tier. A rental activity needs income and expense detail per property for Form 8825 ([IRS, About Form 8825](https://www.irs.gov/forms-pubs/about-form-8825)).

Fixed assets need invoices and placed-in-service dates for each addition, and sale papers for each disposal. These feed Form 4562 and Form 4797.

On the paying side, ask for the Forms W-9 and the Forms 1099 the partnership sent. The service-payment line is $600 for amounts paid in 2025 ([2025 Instructions for Forms 1099-MISC and 1099-NEC](https://www.irs.gov/pub/irs-prior/i1099mec--2025.pdf)) and $2,000 for payments in 2026 ([Instructions for Forms 1099-MISC and 1099-NEC](https://www.irs.gov/instructions/i1099mec)). So a vendor the firm paid $1,500 a year needs a form for 2025 and not for 2026 ([Instructions for Forms 1099-MISC and 1099-NEC](https://www.irs.gov/instructions/i1099mec)); the [contractor checklist](/checklists/tax-documents/independent-contractors) covers the rest. If it has employees, add its payroll returns. Guaranteed payments to partners are not wages, so keep them apart from payroll, along with any health insurance paid for partners.

## Partnership representative and elections

A **partnership representative** is the one person with sole authority to act for the partnership before the IRS. Unless the partnership elects out of the centralized audit regime, it must name one with a substantial presence in the U.S. ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). The return asks for the name, address and phone number, and an individual must be named if the representative is an entity ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). The designation is made on each year’s return ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)).

Electing out is open only to a partnership with 100 or fewer eligible partners, and only on a timely return ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). Confirm the count and the partner types before you check that box. Also ask which elections carry forward, such as Section 754 or the de minimis safe harbor.

A foreign partner changes the paperwork. If the partnership has income effectively connected with a U.S. business allocable to a foreign partner, it may have to withhold under section 1446 and file Forms 8804, 8805 and 8813 ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). Ask for each partner’s Form W-8 and the withholding payments made during the year.

States add their own layer. Ask for sales, payroll and property by state, any pass-through entity tax election and payment, and nonresident partner withholding. Partners who ask what lands on their own return can read the [Schedule K-1 guide](/documents/schedule-k-1).

## Questions people ask

### What documents do I need to prepare a partnership return?

Start with the partnership agreement, last year’s Form 1065 and Schedules K-1, and the year-end trial balance. Add bank and loan statements, partner capital activity, forms received and issued, asset records and the representative’s details.

### When is Form 1065 due?

It is due by the 15th day of the 3rd month after the tax year ends, March 15 for a calendar year ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). The weekend moved the 2025 return to March 16, 2026 ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). File Form 7004 by then for an extension.

### Does a partnership with no foreign activity need Schedules K-2 and K-3?

It may qualify for the domestic filing exception. If it does, it must notify partners, either with the Schedule K-1 or separately before filing Form 1065 ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)).

### What do I need for the partnership representative?

The name, address and phone number of a person with a substantial presence in the U.S. ([Form 1065 instructions](https://www.irs.gov/instructions/i1065)). If the representative is an entity, you also name an individual to act for it.
